Terms of Service

1. Agreement

By creating an account on Wellknown ("the Service"), you agree to these terms. The Service is provided by Darling Mellow Ltd, registered in England.

2. The Service

Wellknown provides local businesses with a one-page website, review collection tools, directory listing, and analytics. We offer Free, Starter, and Growth plans with different feature sets as described on our pricing page.

3. Your account

• You must provide accurate information when registering
• You are responsible for keeping your password secure
• You must be at least 18 years old to use the Service
• One business per account unless otherwise agreed

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Post fake reviews or misleading business information
• Send spam or unsolicited messages through our review request system
• Attempt to access other users' accounts or data
• Reverse engineer or copy the Service
• Use the Service to collect personal data without proper consent

5. Reviews

You are responsible for ensuring you have permission to send review requests to your customers. Reviews submitted by customers are their own opinions. We reserve the right to remove reviews that violate our guidelines.

6. Payments and billing

• Paid plans are billed monthly or annually via Stripe
• Prices are in GBP for UK businesses and USD for US businesses
• You can cancel at any time from the billing portal
• Cancellation takes effect at the end of your current billing period
• We do not offer refunds for partial billing periods
• We reserve the right to change pricing with 30 days' notice

7. Your content

You retain ownership of all content you provide (business details, logos, descriptions). By using the Service, you grant us a licence to display this content on your generated website and in our directory.

8. Our responsibilities

• We will make reasonable efforts to keep the Service available
• We will keep your data secure using industry-standard practices
• We will not sell your personal data to third parties

9. Limitations of liability

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of business, revenue, profits, data, or goodwill
• Our total aggregate liability for any claims arising from your use of the Service is limited to the amount you have paid us in the 12 months preceding the claim
• We are not responsible for the accuracy, content, or legality of reviews left by third parties
• We are not responsible for the content of websites generated using the Service

10. Your responsibilities as a data controller

When you upload customer data to send review requests, you act as the Data Controller. You are responsible for:

• Ensuring you have a lawful basis to share customer contact details with us
• Only uploading data of customers you have a genuine business relationship with
• Not using the review request system to send unsolicited messages to people who have not done business with you
• Responding to data subject access requests from your customers
• Complying with all applicable data protection laws in your jurisdiction

11. Indemnification

You agree to indemnify and hold harmless Darling Mellow Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any third-party rights; (d) any content you submit through the Service; or (e) your breach of applicable data protection laws.

12. Intellectual property

• The Wellknown platform, including its design, code, and branding, is owned by Darling Mellow Ltd
• You retain ownership of your business content (descriptions, logos, images)
• You grant us a worldwide, non-exclusive licence to display your content as part of the Service
• You may not copy, reverse engineer, or create derivative works from the Service

13. Review content and DMCA

Reviews are submitted by third parties and represent their opinions. We do not endorse or verify reviews. If you believe a review is defamatory, fraudulent, or infringes your rights, contact us at hello@wellknown.online and we will investigate. We reserve the right to remove any review at our discretion.

14. Uptime and availability

We aim to keep the Service available 99.9% of the time but do not guarantee uptime. We may take the Service offline for maintenance with reasonable notice. We are not liable for any losses resulting from downtime.

15. Termination

We may suspend or terminate your account immediately if you breach these terms, engage in fraudulent activity, or use the Service in a way that could harm other users. You may delete your account at any time from your dashboard. On termination, your website will be taken offline immediately and your data will be deleted within 30 days, except where retention is required by law.

16. Dispute resolution

Before initiating any legal proceedings, you agree to contact us at hello@wellknown.online and attempt to resolve the dispute informally for at least 30 days.

17. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Changes

We may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.

19. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
